Close will close a file, but leave the application open. Exit will close the file and
also exit the application. So if you are using something like Excel and have a file open and
then choose Close, the file will close, but Excel will still be running and you could open another
file or work on ones that were still open. If you choose Exit, all files will be closed, and
the application will stop completely. When closing or exiting, you will be given a chance to save
files that you are working on.

Closing is shutting down a particular file and the excel application will continue running in the background. Exiting is shutting down the application itself along with all open files.
